Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ProxiedGuardians LLC, a U.S. limited liability company ("ProxiedGuardians," "we," "us," or "our"), governing your access to and use of the ProxiedGuardians edge security platform, including all associated software, APIs, documentation, and websites (collectively, the "Service"). By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Definitions

  • "Account" means the registered account you create to access the Service.
  • "Customer Data" means the data, content, and information you submit to or transmit through the Service, including website traffic processed by the edge proxy.
  • "Edge Proxy" means the ProxiedGuardians reverse proxy software that sits between end users and your origin web server.
  • "Subscription" means the paid or free plan under which you access the Service.
  • "End Users" means the individuals who access your website(s) through the Edge Proxy.
  • "Intellectual Property Rights" means patents, copyrights, trademarks, trade secrets, and any other intellectual or industrial property rights.

2. Account Registration and Eligibility

To use the Service, you must create an Account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. If you are registering on behalf of a legal entity, you confirm that the entity is duly organized and in good standing.

You agree to notify us immediately of any unauthorized use of your Account at security@proxiedguardians.com. We are not liable for losses arising from unauthorized use of your Account that you fail to report.

3. The Service

3.1 Scope

ProxiedGuardians provides an edge security platform that, among other features: (a) sits as a reverse proxy in front of your web server; (b) automatically injects Content Security Policy (CSP) headers and nonces; (c) performs Subresource Integrity (SRI) verification; (d) detects Magecart and supply chain injection attacks; (e) provides violation analytics and reporting; and (f) offers additional security features as described in the applicable plan documentation.

3.2 Service Modifications

We reserve the right to modify, enhance, or discontinue any feature of the Service at any time, with reasonable prior notice for material changes. We will not discontinue the core proxy functionality without at least 60 days' advance notice to paid subscribers.

3.3 Beta Features

We may offer experimental or beta features that are provided "as-is" without warranties. Beta features may be modified or discontinued at any time without notice.

4. Subscriptions and Payment

4.1 Plans

The Service is offered on a subscription basis under Free, Developer, Business, and Enterprise plans, as described on our pricing page. Plan features and limitations are subject to change with reasonable prior notice.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Paddle, our authorized payment processor and Merchant of Record. By providing payment information, you authorize Paddle to charge the applicable fees on your behalf. Paddle's terms of service and privacy policy govern payment processing. All fees are in U.S. Dollars unless otherwise stated.

4.3 Taxes

As Merchant of Record, Paddle is responsible for collecting and remitting applicable sales taxes, VAT, GST, and similar levies. The prices displayed may be inclusive or exclusive of such taxes depending on your jurisdiction.

4.4 Free Trial

We may offer free trials for paid plans. At the end of the trial period, your subscription will automatically convert to the applicable paid plan unless you cancel before the trial expires. No charge is applied during the trial period.

4.5 Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period, and no prorated refunds are issued for the remaining period, except where required by applicable law. Annual subscriptions may be eligible for a pro-rata refund within the first 30 days following renewal, at our sole discretion.

4.6 Non-Payment

If a payment is not received within 10 days of the due date, we may suspend or terminate your access to the Service. We will make reasonable efforts to notify you before suspension.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You must not:

  • Use the Service to proxy websites you do not own or have explicit written authorization to modify;
  • Introduce malware, spyware, or any malicious code through or into the Service;
  • Attempt to gain unauthorized access to the Service, our systems, or any third-party systems through the Service;
  • Use the Service to transmit, distribute, or store unlawful content, including content that infringes intellectual property rights, constitutes harassment, or violates privacy;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service (except to the extent expressly permitted by applicable law);
  • Resell, sublicense, or otherwise transfer access to the Service to any third party without our prior written consent;
  • Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure;
  • Circumvent any rate limits, technical restrictions, or security measures implemented in the Service.

We reserve the right to suspend or terminate Accounts that violate these provisions, without liability to you.

6. Customer Data and Privacy

6.1 Ownership

You retain all ownership and Intellectual Property Rights in and to your Customer Data. You grant us a limited, non-exclusive, worldwide license to process Customer Data solely to the extent necessary to provide the Service.

6.2 Data Processing

Where applicable law requires a data processing agreement (e.g., GDPR), such an agreement is incorporated by reference into these Terms. Our Privacy Policy describes how we collect, use, and protect data in connection with the Service.

6.3 Security

We implement industry-standard security measures to protect Customer Data. However, you acknowledge that no transmission over the Internet is completely secure, and you are responsible for implementing your own appropriate security measures for your systems.

7. Intellectual Property

7.1 Our IP

The Service, including all software, algorithms, documentation, trademarks, logos, and content created by ProxiedGuardians, is and remains our exclusive property, protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as described herein.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate such Feedback into the Service without any obligation to compensate you.

8. Confidentiality

Each party agrees to keep confidential the other party's non-public technical, business, and financial information disclosed in connection with the Service ("Confidential Information"), using at least the same degree of care as it uses for its own confidential information (and no less than reasonable care), and to use Confidential Information solely for purposes of exercising its rights and fulfilling its obligations under these Terms. This obligation does not apply to information that: (a) is or becomes public through no breach of this Section; (b) was rightfully known to the receiving party without restriction before disclosure; or (c) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice and cooperates with reasonable efforts to obtain confidential treatment.

9. Representations and Warranties

Each party represents and warrants that: (a) it has full power and authority to enter into and perform under these Terms; (b) its performance will not violate any agreement to which it is a party or any applicable law; and (c) it will comply with all applicable laws in connection with its use or provision of the Service.

You additionally represent and warrant that: (a) you own or have the right to use all websites and domains you submit to the Service; and (b) your use of the Service will not infringe the intellectual property rights or privacy rights of any third party.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • PROXIEDGUARDIANS' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless ProxiedGuardians and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; (d) your violation of any applicable law or third-party rights; or (e) any website or domain you submit to the Service.

13. Term and Termination

13.1 Term

These Terms commence on the date you first access the Service and continue until your Account is terminated.

13.2 Termination by You

You may terminate your Account at any time by canceling your subscription and deleting your Account from the dashboard. Termination does not entitle you to a refund except as described in Section 4.5.

13.3 Termination by Us

We may suspend or terminate your Account immediately upon written notice (including by email) if: (a) you materially breach these Terms and fail to cure such breach within 10 days of notice; (b) you become insolvent or subject to bankruptcy proceedings; or (c) we are required to do so by law.

13.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6, 7, 8, 10, 11, 12, 14, 15, and 16) will survive.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to Section 15, each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any dispute not subject to arbitration.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or confidential information.

The arbitration will be conducted in English on a confidential basis. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and ProxiedGuardians each waive the right to a jury trial and the right to participate in a class action with respect to any Dispute.

Notwithstanding the foregoing, if you are a consumer located in a jurisdiction where mandatory consumer protection laws prohibit binding arbitration or class action waivers, those mandatory provisions will apply.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms or supplemental agreements, constitute the entire agreement between you and ProxiedGuardians with respect to the Service and supersede all prior or contemporaneous understandings, representations, or agreements.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Failure by either party to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets without your consent, provided the assignee assumes all obligations herein.

16.5 Force Majeure

Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, labor disputes, or failures of third-party infrastructure, provided the affected party provides prompt written notice and uses commercially reasonable efforts to resume performance.

16.6 Notices

All notices under these Terms must be in writing. Notices to you will be sent to the email address associated with your Account. Notices to us must be sent to legal@proxiedguardians.com.

16.7 Updates to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service before the effective date.
